Terms of Service - The terms of working with us

These terms apply to omega-studio-software.com and to everything ordered through it: consultations, custom development, courses, the USA company service, funding requests, hire requests and applications. Each service has its own section below.

The company

Services are provided by Omega Studio, LLC, a limited liability company registered in Delaware, United States. Contact: contact@omega-studio-software.com.

Website use

The content of this site is provided as-is for information. You may not copy it for commercial use without permission. We are not liable for indirect damages arising from the use of the site, to the extent permitted by law.

Consultations

A consultation is a 60-minute 1:1 video call with Andrei Feraru, booked through the site. It is free of charge.

After you pick a time, we email you a confirmation link and hold the time for you for 30 minutes. The call is booked only when you click the link; you then receive a calendar invitation with the video link. If you do not click it within 30 minutes, the time is released and you can pick another one.

You can reschedule free of charge up to 24 hours before the call by replying to the confirmation email. Within the last 24 hours before the call, rescheduling is no longer possible, because the slot can no longer be offered to someone else.

If we have to cancel, we will propose a new time that works for you.

The consultation provides technical advice based on the information you share. It is not a guarantee of any business result and does not include implementation work, which can be agreed separately. Any code, documents or plans you share remain yours; anything we prepare for you during or after the call is yours to use.

Custom development

Custom development is quoted per project. The individual contract we sign for a project — its scope, milestones, prices and deadlines — prevails over these terms wherever the two differ. These terms apply to everything the contract leaves unsaid.

Estimates are estimates. Work outside the agreed scope is quoted separately before it is started, and payment follows the milestones set in the contract. Hosting, domains, third-party licences and subscriptions are paid by you, in your own accounts.

Intellectual property in the code we write for you transfers to you when the project is paid in full. Third-party libraries keep their own licences, and our pre-existing tools and components are licensed to you for use in your project, not sold. We fix bugs in delivered scope free of charge for 30 days after delivery; new requirements are new work.

Courses

Courses are digital content sold as a personal, non-transferable licence to one account. You may not share your access, resell it, or redistribute the videos or materials in any form.

Access is granted to the account that paid, for as long as the course is offered. If you are a consumer in the European Union, by buying you expressly ask for immediate access and acknowledge that you lose the 14-day right of withdrawal once you have accessed the content. A course teaches; it does not guarantee a job, a result or an income.

The USA company service

The service is business consulting and hands-on assistance for forming a Delaware limited liability company: a preparation call, guidance through the formation application, help with the EIN request, guidance on opening a US bank account and online payments, and follow-up until your formation documents are issued.

You submit the formation application in your own name and accept the terms of the formation provider yourself. We prepare it with you and guide every step; we do not file on your behalf.

We are not a law firm or an accounting firm. Nothing we say or write is legal, tax or accounting advice, and no attorney-client relationship is created. The information about US taxation of non-resident owners is general; whether it applies to you depends on your situation and on the laws of your country of residence. Please confirm it with a tax adviser before relying on it.

We do not decide the legal structure, ownership or contracts of your company for you, and we do not draft custom legal documents.

The service is meant for people who are not US citizens or US residents, whose company will have no office, employees or dependent agents in the US and whose customers are mostly outside the US. If any owner is a US citizen or resident, or the company will have a US presence, we review your request first and may decline it or refer you to a lawyer before any payment.

You confirm that the details you provide are accurate and that you are at least 18 years old.

Sending the order form is free. Our fee is the price shown on the page when you send it, currently €500, and it covers our work only. We review your request first; if we can help, we send you an invoice for the fee, and it is paid before work starts.

Not included and paid by you directly: the formation fee charged by the formation provider when you submit the application (about $500), the yearly Delaware franchise tax and annual report fee, the registered agent renewal after the first year, and any bank or payment provider fees. We tell you the amount and deadline of each of these.

If we have not yet started the work, you can cancel and receive a full refund by writing to us. Work starts with the preparation call.

If you are a consumer in the European Union, you have a legal right to withdraw from an online service within 14 days. By ordering, you expressly ask us to start the service before the end of that period and acknowledge that you lose the right of withdrawal once the service has been fully performed. If you withdraw after work has started but before the application is submitted, you pay for the work done so far and the rest is refunded.

Once the formation application has been submitted, the fee is no longer refundable. Fees paid to third parties are never refundable by us.

A Delaware LLC has yearly obligations: the Delaware franchise tax and annual report, the registered agent renewal and, for LLCs owned by non-residents, an informational filing with the IRS (Form 5472 with a pro-forma Form 1120) even when no tax is due. These are your responsibility. We send reminders and can handle the filings for you on request, at a separate fee.

We work with care, but we cannot guarantee the outcome of a decision made by a government agency, a bank or a payment provider, or the time they take. Our liability towards you for this service is limited to the fee you paid us. We are not liable for taxes, penalties or losses resulting from information you provided, from filings you did not make, or from a change in the law.

The funding service

The funding service is help applying for money in your company's name. It covers identifying the opportunities that fit you, checking eligibility, writing the business plan and the financial projections, preparing the required documentation, and guiding you through submitting the applications — for angel investors, bank loans and non-refundable grants.

We are not a bank, a credit broker, an investment firm or a licensed financial adviser, and nothing we say is investment, legal or tax advice. We do not guarantee that any funding is obtained, nor its amount, its conditions or its timing: that decision belongs to the investor, the lender or the awarding authority.

Sending the request form is free. The fee is the price shown on the page when you send it, currently €500. We review your request first; if we can help, we send you an invoice for the fee, and it is paid before work starts. It covers our work and is due regardless of the outcome of the applications. We take no success fee and no share of your company.

Not included and paid by you directly: notary and translation costs, audit or accounting fees, external consultancy required by a programme, application or platform fees, and any co-financing the programme requires. We tell you the amount and the deadline of each before it is due.

Every application is made in your company's name and nothing is submitted without your explicit approval: you review each application, sign it and submit it yourself. You are responsible for the accuracy of the information and documents you give us; we prepare them with you and guide every step. Everything you share is confidential and used only to prepare your applications.

If we have not started the work, you can cancel for a full refund by writing to us. Work starts with the first call.

If you are a consumer in the European Union, you have a legal right to withdraw from an online service within 14 days. By ordering, you expressly ask us to start the service before the end of that period and acknowledge that you lose the right of withdrawal once the service has been fully performed. If you withdraw after work has started but before an application is submitted, you pay for the work done so far and the rest is refunded.

Once an application has been submitted, the fee is no longer refundable.

We work with care, but we cannot guarantee the decision or the timing of an investor, a lender or an awarding authority. Our liability towards you for this service is limited to the fee you paid us.

Hire requests and applications

A hire request is the form at /hire in which you describe the specialist you need, the project, your company and how to reach you. Sending it is not a contract and costs nothing: we call you within 24 hours, propose a person from our team and, if you want to go ahead, agree the engagement, the price and the terms in writing before any work starts.

An application is the form at /apply in which a developer, designer, project manager, marketer or video editor offers to work with us, with a CV. Sending it is not an employment contract or a promise of work: we review it, may invite you to an interview, and only a separate written agreement creates an engagement.

We keep hire requests and applications, including the CV, for 12 months after the last contact so we can come back to you when a fitting project or client appears, then delete them. Write to us at any time to have yours deleted sooner.

Confidentiality

We treat what you tell us about your product and business as confidential and do not share it with third parties, except the service providers needed to deliver the service (see the Privacy Policy).

Governing law

These terms are governed by the laws of the State of Delaware, United States. Consumers in the EU keep the protections of their local mandatory consumer laws and can use the EU online dispute resolution platform.
